What the work actually involves

You will spend most of your time in two modes. In the first, you act as counsel: taking a fund formation or negotiation scenario and producing the redline, the issues list, or the side letter response a real client would receive — including the reasoning behind each mark-up, because the reasoning is the training signal. In the second, you sit in judgment: reading a model's redline of an LPA excerpt or its answer on a most-favoured-nation clause and scoring it against criteria, then explaining precisely where it went wrong. A model that flags the right clause for the wrong reason, or misses a cross-reference to a defined term, needs that distinction written out.

You will also be asked to help build the grading rubrics themselves — turning "this GP-friendly" or "this is off-market" into criteria another reviewer would apply the same way. Research and product teams iterate on guidelines frequently, so expect your written feedback to be read closely and occasionally pushed back on.

What the screening looks for

  • Verifiable credentials: J.D. from an ABA-accredited school, active bar admission in at least one U.S. jurisdiction, and at least two years in a law firm funds practice.
  • Document-level familiarity: limited partnership agreements, subscription agreements, side letters, and the negotiation postures around them — waterfall and clawback mechanics, key person provisions, transfer restrictions, MFN elections.
  • Evaluation judgment: whether you can separate a wrong answer from an unhelpfully-phrased right one, and whether your criticism is specific enough to act on.
  • Written precision under a word limit: feedback that is long is not automatically feedback that is usable.

Logistics

Fully remote and contractor-based. Part-time and largely asynchronous — most contributors work in blocks of a few hours against a task queue rather than fixed shifts, though calibration calls and guideline reviews are sometimes scheduled. Volume fluctuates with project cycles; treat it as supplemental to a practice or in-house role rather than a replacement. Rates in the $90–150/hr range have been observed on this listing and vary by task complexity and seniority; nothing here is guaranteed.
