What the work actually involves
You will spend most of your time on two kinds of task. The first is production: drafting or redlining provisions in acquisition agreements — indemnification baskets and caps, reps and warranties, MAE/MAC definitions, closing conditions, earnout mechanics, non-competes — and writing out the negotiating rationale behind each markup as though explaining it to a client or to opposing counsel. The second is evaluation: reading a model's proposed redline or risk memo against a fact pattern and scoring it, with written justification for why a change is buyer-favorable, seller-favorable, off-market, or simply legally wrong. Expect to be asked to build the rubric as often as you apply it: dimension definitions, scoring anchors, and tie-breaking rules that another attorney could apply and reach the same result.
What the screen is looking for
micro1's process is AI-led and heavy on follow-up. It will verify the hard credentials — J.D. from an ABA-accredited school, active bar admission, at least two years in an M&A group at a corporate firm — and then press on substance: which agreements you personally drafted versus reviewed, what you fought over, whose side you were on. Generic transactional summary answers do poorly; naming a specific provision, the market position on it, and what you conceded to get it does well. The screen also tests whether you can criticize a plausible-looking model output precisely, rather than pronouncing it good or bad, and whether you can hold a scoring standard steady across items.
